What we provide, what it costs, and what both sides are bound by.

1 · Scope and contracting party
These terms apply to the use of KiViP Concierge. The contracting party is ALSEMIMA Distribution Systems GmbH, Carl-Zeiss-Straße 5, 71229 Leonberg.
2 · What we provide
We carry out tasks you hand over in the chat: research, documents, media, data preparation, obtaining quotes, and communicating with third parties on your behalf. Part of the work is automated, part is done by people.
We owe careful performance
The contract is a service contract: we owe careful, professional performance rather than a particular economic outcome.
AI-generated results
Results are produced using AI systems and may contain incorrect, incomplete or fabricated information. We check every result before handing it over, but you should verify facts before relying on them.
What we do not do
We do not provide legal, tax, medical, investment or insurance advice, and we do not do anything unlawful.
3 · Account and conclusion of contract
An account is required. The usage contract is concluded upon confirmation of registration; a paid contract is concluded when you purchase credit.
4 · Credits, prices and payment
Services are billed in credits, purchased in advance and debited on use. The cost of a task is shown before it is incurred.
Prices
All prices include VAT. Credits are single-purpose vouchers under German VAT law, so VAT arises on top-up. Reverse charge applies to EU businesses with a verified VAT ID.
Expiry and refunds
Credits do not expire. On termination we refund unused credit on request within thirty days via the original payment method.
Payment
Payment is handled by a payment service provider. We do not store card or bank details. Invoices are provided electronically.
5 · Right of withdrawal for consumers
Consumers have the right to withdraw from this contract within fourteen days without giving reasons.
Early expiry of the right
The right expires early if we have fully performed at your express request and you confirmed beforehand that you thereby lose the right. We obtain that confirmation before a task starts.
Model withdrawal form
Model withdrawal form as required by German law — complete and return it to the address above if you wish to withdraw.
6 · Your cooperation
You warrant that you hold the necessary rights in the content you provide and that our processing of it is lawful, and you indemnify us against third-party claims arising from a breach of that warranty.
7 · Rights in the results
Upon full payment we grant you an unrestricted, transferable right of use in the results. Note that purely machine-generated content is generally not protected by copyright, so exclusive rights cannot be granted in it.
8 · Liability
We are liable without limit for intent and gross negligence, for injury to life, body or health, for guarantees and under product liability law. For slight negligence, liability is limited to breach of cardinal obligations and to foreseeable damage typical of the contract.
9 · Availability
We aim for continuous operation but do not guarantee it. Credit does not expire during an outage.
10 · Term, termination, suspension
The usage relationship runs indefinitely and may be terminated at any time by either side in text form. We may suspend an account used for unlawful purposes.
11 · Changes to these terms
We announce changes at least six weeks before they take effect. If you do not object by then, they are deemed accepted; we point this out in the notice.
12 · Final provisions
German law applies, excluding the CISG; mandatory consumer protection provisions remain unaffected. For merchants, the place of jurisdiction is our registered office.
Authoritative version
In case of discrepancies between language versions, the German version prevails.
